Please read these Terms of Service carefully before using ohmixo.com or placing an order. By accessing our website, creating an account, or placing an order, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

1.1 These Terms of Service ("Terms") govern your access to and use of the website located at ohmixo.com, including all sub-domains, the online design tools, and all related services (collectively, the "Platform"), operated by Ohmixo Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at 83/Balvant Nagar Soc, Singanpur Char Rasta, Surat - 395004.

1.2 These Terms constitute a legally binding agreement between you (the "Customer", "User", "you") and Ohmixo. They are an "electronic record" under the Information Technology Act, 2000 and do not require any physical or digital signature.

1.3 These Terms should be read together with our Privacy Policy, Shipping Policy, Cancellation, Returns & Refund Policy, and any other policy published on the Platform, all of which are incorporated into these Terms by reference.

1.4 We may update these Terms from time to time. Section 25 explains how changes take effect.

3.1 To use the Platform and place an Order, you must be at least 18 years of age and competent to enter into a contract under the Indian Contract Act, 1872.

3.2 If you are accessing the Platform on behalf of a business or other entity, you represent that you are authorised to bind that entity to these Terms.

3.3 If you are a minor (below 18 years), you may use the Platform only under the supervision of a parent or legal guardian who agrees to these Terms on your behalf.

3.4 We may, at our sole discretion, refuse service, terminate accounts, or cancel Orders if we believe you do not meet these eligibility requirements.

4.1 Certain features require you to create an account. You agree to provide accurate, current, and complete information and to keep it updated.

4.2 You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at support@ohmixo.com if you suspect any unauthorised use.

4.3 Ohmixo is not liable for any loss or damage arising from your failure to safeguard your account credentials.

4.4 We reserve the right to suspend or terminate accounts that contain false information, are used for fraudulent or unlawful purposes, or otherwise violate these Terms.

5.1 Most Products sold on the Platform are Custom Products made specifically for you based on your Design Content and selections. They cannot be resold or restocked.

5.2 Because Custom Products are made to order, they are excluded from the usual right of return/refund, except where the Product is defective, damaged in transit, or materially different from what you ordered. See Section 11 (Cancellation) and Section 12 (Returns, Replacements & Refunds).

5.3 You are solely responsible for reviewing and approving your final design before placing an Order. Once you place an Order, you confirm that your design is final and correct.

5.4 Ohmixo is not responsible for errors in the content you submit or approve, including spelling mistakes, incorrect dates, wrong or low-quality images, poor cropping, or design choices made by you.

6.1 Image resolution: The quality of a printed Product depends on the resolution of the images you upload. Low-resolution images may print blurry or pixelated. Final responsibility for image quality rests with you.

6.2 Colour variation: Colours displayed on your screen may differ from the printed result due to monitor calibration, screen settings, lighting, paper type, and printing processes. Minor colour variations are inherent in printing and are not considered defects.

6.3 Size and finish: Slight variations in trim size, binding, cropping near edges, paper texture, and finish are normal and do not constitute a defect.

6.4 By placing an Order you acknowledge and accept these inherent characteristics of printed and personalized Products.

7.1 You retain ownership of the images, photographs, and original content you upload. Ohmixo does not claim ownership of your photographs.

7.2 Licence to us: You grant Ohmixo a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, adapt, print, and otherwise use your Design Content solely to provide the Services to you. We will not use your Design Content for marketing without your separate consent.

7.3 Your warranties: You represent and warrant that: (a) you own or have all necessary rights to use the Design Content; (b) the Design Content does not infringe any copyright, trademark, privacy, or other right of any third party; (c) you have obtained consent of any identifiable person appearing in your images; and (d) the Design Content does not contain any unlawful, obscene, defamatory, or otherwise prohibited material (see Section 8).

7.4 Ohmixo does not pre-screen Design Content but reserves the right to refuse, remove, or cancel any Order whose content we believe violates these Terms or any law.

7.5 Indemnity for content: You agree to indemnify and hold Ohmixo harmless from any claim, demand, loss, or liability (including legal fees) arising out of your Design Content or breach of the warranties in Section 7.3.

7.6 Data retention: Your uploaded files and design data are retained in accordance with our Privacy Policy. We may delete or archive files after delivery plus a reasonable retention period.

8.1 You must not upload, create, or order any Product containing content that: (a) is obscene, pornographic, or sexually explicit, or that exploits minors; (b) infringes any intellectual property, privacy, or publicity right; (c) is defamatory, abusive, harassing, threatening, or hateful; (d) is unlawful or promotes illegal activity; (e) impersonates any person; or (f) contains malware or attempts to interfere with the Platform.

8.2 You must not scrape data, reverse-engineer our systems, resell access, place fraudulent Orders, or circumvent any security controls.

8.3 We reserve the right to report unlawful content to appropriate authorities. Violation of this Section may result in immediate cancellation of your Order (without refund) and termination of your account.

9.1 All content on the Platform other than your Design Content - including the Ohmixo name and logo, website design, software, design editor, templates, graphics, and underlying technology - is owned by or licensed to Ohmixo and is protected by intellectual property laws.

9.2 We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform and its templates solely to design and order Products for your own use. You may not copy, modify, distribute, sell, or commercially exploit any part of the Platform without our prior written consent.

10.1 Offer and acceptance: Your placement of an Order constitutes an offer to purchase. A binding contract is formed only when we confirm acceptance. We reserve the right to accept or reject any Order at our discretion.

10.2 Pricing: All prices are listed in Indian Rupees (INR) inclusive of applicable Goods and Services Tax (GST). Shipping charges, if any, are shown at checkout.

10.3 Pricing errors: If we discover a pricing error after you place an Order, we will inform you and give you the option to confirm at the correct price or cancel; if we cannot reach you, we may cancel the Order and refund any amount paid.

10.4 Payment: Payments are processed through our third-party payment gateway (Razorpay). We do not store your complete card or banking details. Orders are taken up for production only after successful payment confirmation.

10.5 Invoicing & GST: A GST-compliant tax invoice will be issued for each Order in accordance with applicable Indian tax law.

10.6 Coupons & discounts: Promotional codes are subject to their specific terms, are non-transferable, have no cash value, and may be withdrawn at any time. We reserve the right to cancel Orders where we detect coupon misuse or fraud.

11.1 Because our Products are personalized and made to order, cancellation is permitted only before your Order enters production.

11.2 To request a cancellation, contact us at support@ohmixo.com as soon as possible. If your Order has not yet entered production, we will cancel it and refund the amount paid to your original payment method.

11.3 Once an Order has entered production, it cannot be cancelled and no refund will be provided.

11.4 Ohmixo reserves the right to cancel any Order in cases of suspected fraud, prohibited content (Section 8), pricing error (Section 10.3), non-availability of materials, or events beyond our control. In such cases, where the cancellation is not due to your breach, we will refund amounts paid.

12.1 Personalized Products are not eligible for return or refund on the basis of change of mind, incorrect content supplied by you, or normal print/colour variation (Section 6).

12.2 We will provide a free replacement (or, where not feasible, a refund) only where: (a) the Product is damaged or defective due to a manufacturing or printing fault attributable to us; (b) the Product is damaged in transit; or (c) you received a wrong or materially incorrect Product.

12.3 How to claim: Report the issue to support@ohmixo.com within 48–72 hours of delivery, with your Order ID and clear photographs/video of the issue and packaging. Claims raised after this window may not be accepted.

12.4 We will review your claim and may request additional information. If approved, we will arrange a free replacement or process a refund where replacement is not feasible.

12.5 Refund processing: Approved refunds are credited to your original payment method within 7–10 business days of approval.

12.6 This policy does not affect any rights you may have under the Consumer Protection Act, 2019.

13.1 We ship Products through third-party courier and logistics partners across India.

13.2 Estimated delivery timelines are shown at checkout and are estimates only, calculated from the date production is completed. Production time is in addition to shipping time.

13.3 Risk and title in the Product pass to you upon delivery to the address you provide.

13.4 You are responsible for providing a complete and accurate delivery address. We are not responsible for delays or non-delivery caused by incorrect address details or recipient unavailability.

13.5 Once dispatched, a tracking number will be shared. Delays caused by the courier, weather, strikes, or events beyond our control are not the responsibility of Ohmixo (see Section 20, Force Majeure).

14.1 Bulk, corporate, or wholesale Orders may be subject to separate commercial terms, pricing, and timelines, which will prevail over these Terms to the extent of any conflict for those Orders.

14.2 Submitting a B2B inquiry does not create a binding contract. A binding contract arises only upon mutual written confirmation of the quotation and terms.

15.1 Your personal data is collected and processed in accordance with our Privacy Policy and applicable Indian law, including the Digital Personal Data Protection Act, 2023 and the Information Technology Act, 2000.

15.2 By using the Platform, you consent to the collection, storage, and processing of your data as described in our Privacy Policy.

15.3 Please review our Privacy Policy for full details on how we handle your data and how to exercise your rights.

17.1 The Platform and Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, Ohmixo disclaims all warranties, express or implied, except as expressly stated in these Terms or required by applicable law.

17.2 We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that the design tools will be compatible with all devices or browsers.

17.3 Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable Indian law, including the Consumer Protection Act, 2019.

18.1 To the maximum extent permitted by law, Ohmixo's total aggregate liability shall not exceed the amount actually paid by you for the specific Order giving rise to the claim.

18.2 Ohmixo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, goodwill, or sentimental value.

18.3 In particular, Ohmixo is not liable for: errors in content you supplied or approved; normal print/colour/size variation; or delays/failures caused by events beyond our reasonable control.

18.4 This Section does not exclude liability for death or personal injury caused by our negligence, fraud, or any liability that cannot be excluded under applicable law.

21.1 We may suspend or terminate your access to the Platform, cancel pending Orders, or close your account if you breach these Terms, engage in fraud or unlawful conduct, or upload prohibited content.

21.2 You may stop using the Platform at any time. Termination does not affect Orders already in production or any rights and obligations accrued before termination.

22.1 In accordance with the Consumer Protection (E-Commerce) Rules, 2020 and the Information Technology Act, 2000, our Grievance Officer details are:

22.2 We will acknowledge any consumer complaint within 48 hours of receipt and endeavour to resolve it within one month, in accordance with applicable law.

23.1 These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of India.

23.2 Subject to Section 24, the courts at Surat, Gujarat, India shall have exclusive jurisdiction over any dispute.

24.1 In the event of any dispute, the parties shall first attempt to resolve the matter amicably through good-faith discussions. You may contact our Grievance Officer (Section 22) in the first instance.

24.2 Arbitration: Any dispute not resolved amicably within 30 days may be referred to arbitration by a sole arbitrator appointed by Ohmixo, conducted under the Arbitration and Conciliation Act, 1996. The seat and venue of arbitration shall be Surat, Gujarat, and the language shall be English.

25.1 We may revise these Terms at any time by posting the updated version on the Platform with a new "Last Updated" date. Material changes will take effect when posted.

25.2 Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms. Orders are governed by the Terms in effect at the time the Order was placed.

26.1 Entire agreement: These Terms, together with the policies incorporated by reference, constitute the entire agreement between you and Ohmixo regarding the Platform.

26.2 Severability: If any provision is held invalid or unenforceable, the remaining provisions continue in full force.

26.3 Waiver: Our failure to enforce any right or provision is not a waiver of that right or provision.

26.4 Assignment: You may not assign these Terms. We may assign or transfer our rights and obligations to an affiliate or successor.

26.5 Notices: Notices to us should be sent to support@ohmixo.com. Notices to you may be sent to the email associated with your account.
